Vivos to acquire sleep center

LITTLETON, Colo. - Vivos Therapeutics has signed a definitive agreement to acquire The Sleep Center of Nevada for up to $9 million.

The deal includes $6 million in cash, $1.5 million in Vivos common stock at closing, and potential additional $1.5 million in stock tied to performance milestones.

SCN, founded in 2008, is the largest sleep center in Nevada, with approximately 3,000 new patients each month. It operates seven locations with nearly 50 beds for overnight sleep testing.

“We believe this transaction will be a game-changer for Vivos, with the prospect of meaningfully adding to our revenues in the coming months through SCN’s diagnostic and other services as well as adding thousands of patients as candidates for Vivos OSA treatment,” said Kirk Huntsman, chairman and CEO of Vivos. “SCN has a dominant market share for OSA detection and treatment in the fast-growing Las Vegas region. We anticipate SCN patients will prefer Vivos treatment options over a lifelong maintenance device such as CPAP.”

Significant Vivos investor New Seneca Partners, Inc., a leading North American private equity sponsor, assisted in sourcing, structuring and executing this transaction. The acquisition is expected to close in the later this quarter or in the third quarter, subject to financing, audit and other customary conditions.

AAHomecare state round up: Ark., S.C., Fla.

Arkansas has enacted legislation to limit the application of step therapy or “fail first” protocols by insurance companies for patients who have been prescribed non-invasive ventilators (NIV). HB 1321 was passed by both chambers of the Arkansas legislature and enacted by Governor Sarah Huckabee on Apr. 10 … On Apr. 9, legislation to broaden the sales tax exemption for HME in South Carolina was reported out of the House Ways & Means Committee in the state legislature. H 3800 now moves to the full House; Senate companion bill S 0266 passed the Sales and Income Tax Subcommittee of the Senate Finance Committee on Apr. 15. Kim Cannan from Hawthorne Medical, treasurer of SCMESA, testified on behalf the legislation at the Apr. 15 session … Bills to restore access to continuous glucose monitors (CGMs) through HME suppliers for Medicaid beneficiaries are moving forward in the Florida legislature. Arkansas passes bill to prohibit PBM ownership of pharmacies
ALEXANDRIA, Va. – Arkansas Gov. Sarah Huckabee Sanders on April 16 signed into law, HB legislation that prohibits state permits to pharmacies owned by pharmacy benefit managers effective Jan. 1, 2026. The Arkansas Pharmacists Association worked to advance the bill. “Today is a new day in Arkansas for our patients as the fox will no longer guard the henhouse,” said John Vinson, APA’s CEO. “This bipartisan legislation passed overwhelmingly to protect public health and safety for Arkansans. HB 1150 will stop the abusive self-dealing at PBM affiliated pharmacies that raises prescription drug prices and limits patient access. The National Community Pharmacists Association supported the APAP during the process. “Time and time again, PBMs have proven themselves to be resistant to transparency and reform,” said Anne Cassity, NCPA’s senior vice president of government affairs. “HB 1150 is a structural change that gets to the heart of the problem – the conflicts of interest inherent in vertical integration that PBMs have been manipulating to the detriment of patients, taxpayers, and pharmacies. We applaud HB 1150 and are eager to see its provisions implemented in Arkansas and, ideally, throughout the country.” Since the introduction of HB 1150, similar ownership provisions were introduced or amended into bills in Indiana, New York, Texas, and Vermont. Additionally, on April 14, a bipartisan coalition of 39 state and territory attorneys general sent a letter to congressional leaders urging them to pass legislation prohibiting PBMs from owning or operating pharmacies.
